These terms govern the services provided by Envix (“Envix”, “we”, “us”). By purchasing a support plan, a bank of hours or a project from us, you agree to these terms.
1. Services
We provide website design, development and support services for HubSpot CMS, delivered through one of three engagement types:
- Support plans — a monthly subscription including an allowance of hours (Starter: 10, Growth: 20, Scale: 40), used against tasks you submit via a shared Trello board.
- Bank of hours — prepaid blocks of 20 hours at the published rate, used against tasks in the same way.
- Projects — fixed-price website builds and migrations, quoted and agreed in writing before work begins.
2. Hours, rollover and expiry
- Plan hours renew monthly. Unused plan hours roll over for one month only, capped at one month’s allowance.
- Time beyond your monthly allowance is billed at the published overage rate, or you may upgrade to a higher plan. We will notify you before your allowance is exceeded.
- Bank of hours blocks are valid for 12 months from the date of purchase and are non-refundable once work has commenced against them. Remaining bank hours carry over in full if you switch to a support plan.
- Time is logged per task and visible to you on your board.
3. Turnaround
Tasks submitted on a working day are acknowledged the same working day. Most tasks are completed within 48 hours for plan clients and within 3–5 working days for bank-of-hours clients. Urgent requests flagged as business-critical are started the same working day. Larger tasks are estimated and staged before work begins. These are service targets, not guarantees, and exclude public holidays.
4. Fees and payment
- Support plans are billed monthly in advance by card. Bank of hours blocks are paid in full at purchase.
- Projects are invoiced in milestones as set out in the project quote, on 30-day payment terms.
- We may suspend work on accounts with overdue balances after reasonable notice.
- Prices are as published on our website or quoted in writing, and may be revised with at least 30 days’ notice for recurring services.
5. Cancellation
Support plans have no minimum term and may be cancelled by either party with 30 days’ written notice. Hours remaining at the end of the notice period (including rollover) may be used until that date and then lapse. Statutory rights are unaffected.
6. Your responsibilities
- Providing timely access to the systems needed to do the work (HubSpot portal, DNS, hosting and related accounts) and keeping that access current.
- Ensuring you have the rights to all content, branding and materials you ask us to use.
- Reviewing completed work within a reasonable time and reporting issues promptly.
7. Intellectual property
On payment in full, you own the deliverables we create for you — designs, templates, modules and code — excluding our pre-existing tools, libraries and know-how, which we licence to you for use in your website. Third-party assets (themes, plugins, stock media, fonts) remain subject to their own licences.
8. Confidentiality and data
Each party will keep the other’s confidential information confidential and use it only for the purposes of the engagement. Where we process personal data on your behalf, we do so under our Privacy Policy and, where required, a data processing agreement, available on request. See also our Security & Trust page.
9. Warranties and liability
- We will perform the services with reasonable skill and care, consistent with good industry practice.
- We are not responsible for faults arising from third-party platforms and services (including HubSpot itself), changes made by you or others to work we have delivered, or issues present in systems we did not build, except where we have agreed to fix them.
- Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
- Subject to the above, each party’s total liability arising out of the services in any 12-month period is limited to the fees paid by you for the services in that period, and neither party is liable for indirect or consequential loss, or loss of profit, revenue or data.
10. General
These terms are the entire agreement between us regarding the services and supersede prior discussions. If any provision is found unenforceable, the remainder stays in effect. Neither party is liable for delay caused by events beyond its reasonable control. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
